GENERAL TERMS AND CONDITIONS (THE “TERMS”) OF JOEY KLEIN POWER SERIES™ LIVE EVENTS (“THE POWER SERIES EVENT” or “PS EVENT”) FOR NEW LIVE PS EVENT PURCHASERS ONLY

CONTRACT TERMS
Customer approval and execution of this Agreement, including all the Terms and Conditions herein (the “Terms”), will be required prior to the commencement of any event.
PAYMENT
By paying the required tuition for the Live PS Event, Customer agrees to the Terms and terms of payment. Customer tuition must be paid in full at time of enrollment into the Live PS Event. We offer no refunds.
TRANSFER, DEFAULT, CANCELLATION, TERMINATION, AND DAMAGES FEE
1. Transfer:
  For one time only, Customer may transfer the event enrollment for the Live PS Event from the originally purchased event date to the next desired and available date, without any additional charge. Customer may not transfer their event enrollment to another individual. After an initial transfer to another Live PS Event, Customer may transfer their Live PS Event enrollment subject to a $75 transfer fee for each subsequent transfer. In order to transfer, you must do so by notifying Inner Matrix Systems (IMS) in writing at [email protected]. In the subject field, put ATTN: Live PS Event Transfer. Enrollment is on a first come, first serve basis determined by the date of enrollment.
2. Cancellation:
  Customer may not cancel this transaction. No refund or other credit will be provided. Customer may transfer their event, as provided in section 3.A.
3. No-Show:
  No refund or other credit will be provided if Customer fails to attend Live PS Event without proper notice to Inner Matrix Systems via email at [email protected] at least 3 business days prior to the commencement of the Live PS Event.
4. Satisfaction Guarantee:
  If you attend the entire Live PS Event, and participate fully, and do not experience a shift in your Inner Matrix (mind, emotions and nervous system), we will gladly refund your registration fee. In order to request your refund, please connect (in-person) with a member of the IMS Care Team at the Registration Table, immediately following the conclusion of the final session of your Live PS Event. Refunds are authorized at the event only. If you are unable to attend your Live PS Event for any reason, you may transfer your registration to a future Live PS Event, as provided in section 3.A. Previously transferred and complimentary tickets are not eligible for transfer. If you are unable to attend and do not wish to transfer your registration to a future Live PS Event, contact Inner Matrix Systems at [email protected] at least 3 business days prior to the event. We will issue a credit for your Live PS Event, to be used on any eligible IMS training.
GENERAL PROVISIONS
1. Warranties:
  Customer acknowledges that Customer is not relying upon any warranties, promises, guarantees or representations made by IMS or anyone acting or claiming to act on behalf of IMS unless it is in writing signed by a designated and authorized IMS representative. All advertising material and all prior representations or agreements, if any, whether oral or written, are hereby superseded by these Terms. These Terms contains the entire understanding and agreement between Customer and IMS, and no addition or modification of any terms shall be effective unless set forth in writing and signed by Customer and IMS. No IMS representative has authority to modify these Terms.
2. Terms and Conditions:
  Customer’s approval and execution of this Agreement, including all the Terms herein, will be required prior to the commencement of any event. This Agreement is governed by the laws of the State of Colorado.
3. Dates, times, locations, and structure of the Live PS Event event are subject to change, including without limitation, modifying the Live PS Event event from live, in-person to a virtual Live PS Event.
4. IMSI reserves the right to terminate this enrollment for any reason it deems appropriate. Tuition credits and refunds will be reviewed on a case-by-case basis.
5. Assignment:
  This agreement may not be assigned to another individual or entity without express written approval of IMSI.
6. Further Releases:
  At IMS’s sole discretion, IMS may require you to agree to additional terms and conditions to attend the Live PS Event. Such additional terms shall be in addition to, and shall not supersede these Terms, and these Terms shall continue in full force and effect.
7. Personal Use and No Recording:
  You agree that by participation in or attending the Live PS Event, you expressly agree not to record by audio, video, photography or any other means, any portion of the Live PS Event, nor will you publish, post on the internet or otherwise make publicly available any recording of any portion of the Live PS Event. You also understand and agree that all written and/or electronic materials provided by IMSI in connection with the Live PS Event are protected by the copyright laws, and you agree not to use any and all such written/electronic materials (collectively, the “Materials”) in any form after the Live PS Event, other than for your personal use. You further agree that, other than for your personal use, you shall not make any summary or other derivate work of the Live PS Event or the Materials in electronic, written, audio, video or any other form, and post or publish online or otherwise distribute to any third parties any such summary materials.
RELEASE OF LIABILITY
1. General Release of Liability (“Release”):
  By purchasing the Live PS Event, Customer expressly understands, assumes, and consents to all the terms, conditions, and risks set forth in this Release and releases Joey Klein, IMS, its employees, owners, officers, directors, insurers, agents, and affiliates (collectively “The IMS Releasees”).
2. Photography & Recordings:
  Customer recognizes and accepts that Customer may be videotaped or photographed while participating in the Programs and that Customer’s photograph/likeness and/or videotape image or voice (collectively “Image”) may be disseminated to the public. Customer understands that Customer’s biological information and the information Customer provides in any evaluation form Customer submits to IMS (“Information”) may be used by IMS for publicity or advertising purposes. Customer authorizes IMS to use or publish such Information and Image for publicity or advertising purposes only. Customer releases and holds IMS harmless from any reasonable expectation of privacy associated with IMS’s use of Customer’s Image or Information. Customer waives any proprietary interest Customer might have in Customer’s Image and hereby grants IMS a license to use Customer’s Image to the extent necessary. Customer acknowledges and agrees that Customer will not receive compensation associated with IMS’s use of Customer’s Image or Information.
3. Physical Exercise & Medical Conditions:
  Customer understands that certain physical exercises or activities carry an inherent risk of injury and if Customer has any physical issues that would limit participation, Customer agrees not to engage in any physical exercise or activity provided at the Live PS Event without first consulting a physician. Customer understands that Customer always has the choice to participate or not participate in any given exercise during the Live PS Event and agrees that participation is voluntary. Customer further understands that certain emotional, mental, and nervous system exercises can bring deep preexisting emotional pain to the surface. Customer understands that IMS uses energetic techniques to support the Customer’s natural state of well-being and that IMS does not represent or warrant in express or implied terms the effectiveness of such techniques. Customer understands that Joey Klein and all Releasees are not health care providers, physicians, psychiatrists, psychologists, counselors, therapists, or medical practitioners of any kind, and do not diagnose or treat medical, emotional, or spiritual conditions. Customer hereby agrees to remain solely and completely responsible for Customer’s own physical, mental, emotional, and spiritual health while participating in the Programs and agrees to consult medical practitioners for all mental and physical issues that may arise as a result of Customer’s participation in the Programs.
4. ON BEHALF OF MYSELF, MY HEIRS, EXECUTORS, ADMINISTRATORS, AND ASSIGNS, I HEREBY EXPRESSLY RELEASE THE IMS RELEASEES FROM ANY AND ALL CLAIMS, DEMANDS, AND/OR CAUSES OF ACTION OF ANY NATURE TO THE FULLEST EXTENT ALLOWABLE UNDER APPLICABLE LAWS, WHETHER PRESENTLY KNOWN OR UNKNOWN, FORESEEN OR UNFORESEEN, WHICH I MAY HAVE, OR MAY SUBSEQUENTLY ACQUIRE, AS A RESULT OF MY PARTICIPATION IN THE PROGRAMS.

WAIVER OF JURY TRIAL AND ARBITRATION AGREEMENT I AGREE TO WAIVE ANY RIGHT TO A JURY TRIAL REGARDING ANY CLAIMS OR DISPUTES BETWEEN ME AND THE IMS RELEASEES. I AGREE TO THE RESOLUTION BY FINAL AND BINDING ARBITRATION OF ANY AND ALL DISPUTES, CLAIMS OR CONTROVERSIES (COLLECTIVELY “CLAIMS”) ARISING OUT OF OR FROM MY PARTICIPATION IN THE LIVE PS EVENT WHICH WOULD OTHERWISE BE SUBJECT TO RESOLUTION IN COURT. I AGREE THAT ANY CLAIMS SHALL BE SUBJECTED TO THE AAA ARBITRATION PROCESSES AND PROCEDURES AND THAT ARBITRATION WILL TAKE PLACE IN THE COUNTY AND STATE IN WHICH THE LIVE PS EVENT ARE LOCATED OR IN A LOCATION A REASONABLE DISTANCE FROM THE LIVE PS EVENT. I AGREE THAT ALL CLAIMS WILL BE BROUGHT INDIVIDUALLY TO ARBITRATION WITHIN THE APPLICABLE STATUTE OF LIMITATIONS BEGINNING WITH THE FIRST ACT GIVING RISE TO A CAUSE OF ACTION AND THAT EACH PARTY SHALL BEAR HIS, HER OR ITS OWN ATTORNEYS’ FEES, COSTS AND EXPENSES. I FURTHER UNDERSTAND THAT THIS ARBITRATION AGREEMENT SHALL SURVIVE AND CONTINUE IN EFFECT, EVEN AFTERTERMINATION OF THIS CONTRACT.
